Wenn du unter deinem "neuen" Nick Harryharry als Roothom, laut deiner Aussage ja zu Unrecht, betitelt wirst, dann fühlst du dich geschmeichelt? Dies kann man nur, wenn man tatsächlich Roothom ist, denn sonst würde sich davon ein Dritter bestimmt nicht geschmeichelt fühlen, vor allem nicht nach dessen unrühmlichen Vorgeschichten in nun mittlerweile alten toten Thread.

Bezüglich deiner Frage, ob ich meine Aussagen auch belegen kann? JA!!! Denn aus dem von Seewölfin geposteten Filling geht ja folgendes hervor (die ganz wichtigen Stellen habe ich erneut wieder einmal für dich fett markiert und zum teil auch (kursiv) unterstrichen, damit auch du weißt, worauf es vor allem in dem Text an kommt):

"We are issuing, pursuant to this prospectus supplement and accompanying base prospectus, an aggregate 6,918,090 shares (the “Settlement Shares”) of our Class A common stock, par value $0.01 (the “Class A common stock”) (before certain adjustments with respect to holders excluded from the settlement class). Und damit hat sich dies wieder einmal bestätigt was ich von Anfang an gesagt habe, die "Gratisaktien" bekommen nur die AMC - Stammaktionäre, die ihre AMC - Stammaktien am 27. April 2023 (= das Datum der Settlementvereinbarung) bis gestern gehalten haben.

Besonders amüsant fande ich deine Ausführungen zum Terminus "Record Holder", welchen im Übrigen AMC in dem obrigen Zusammenhang so noch einmal verwendet. Denn "Record" steht immer für einen Stichtag und nicht wie von dir fast schon in Comedymanier ausgeführt, wenn es etwas zu verteilen gibt.

Der Schwachsinn bringt mich dazu, doch noch einmal zurückzukehren.

Wer sich ein wenig mit der englischen Sprache auskennt, der weiß, dass sich ein Partizip stets auf den Satzteil direkt davor bezieht. " dated as of April 27, 2023 " bezieht sich somit ausschliesslich auf das Datum des Stipulation and Agreement of Compromise, Settlement and Release . Ausgeszahlt wird gemäß den terms of the Stipulation and Agreement of Compromise, Settlement and Release

Weiter unten im Prospekt heißt es dann nämlich:

In order to settle the Shareholder Litigation, allow the Status Quo Order to be lifted, and permit the Conversion of AMC Preferred Equity Units into Class A common stock to proceed, the Company agreed to make a settlement payment to the record holders of the Class A common stock as of the time that the Reverse Stock Split became effective (the “Settlement Class Time”). The settlement payment consists of one share of Class A common stock for every 7.5 shares of Class A common stock owned by such record holders as of the Settlement Class Time (after giving effect to the Reverse Stock Split) (the “Settlement Payment”). Based on 51,919,239 shares of Class A common stock held by the Plaintiffs’ class as of August 24, 2023 and contingent upon the Reverse Stock Split and Conversion of AMC Preferred Equity Units into Class A common stock, an aggregate of 6,918,090 shares of Class A common stock will be issued as the Settlement Payment (before certain adjustments with respect to holders excluded from the settlement class). As of August 24, 2023, based on a total of 158,377,971 shares of Class A common stock outstanding immediately after giving effect to the Reverse Stock Split, the Conversion of AMC Preferred Equity Units into Class A common stock and the issuance of shares of Class A common stock as the Settlement Payment, the shares issued as the Settlement Payment will represent approximately 4.4% of the outstanding Class A common stock on a pro forma basis.
