"Subject to these conditions, the Company, on behalf of the named defendants, has agreed, promptly following the Conversion, to make a settlement payment to the record holders of the Class A common stock as of the Settlement Class Time (as defined below). The settlement payment will consist of one share of Class A common stock for every 7.5 shares of Class A common stock owned by such record holders as of the Settlement Class Time (after giving effect to the Reverse Stock Split). Based on 51,919,239 shares of Class A common stock (post-Reverse Stock Split) held by the Plaintiffs’ class as of March 31, 2023, an aggregate of 6,922,566 shares of Class A common stock would be issued in the Settlement Payment. Den Teil den ich gekürzt hatte bezieht sich nur auf die Gesamtanzahl der AMC Aktien und der Ape units. Wenn Deine Interpretation korrekt wäre würde dort auch etwas von "record holder as of March 31, 2023" stehen. Ausserdem ist die Idee das es zwei Stichtage gibt verdammt kompliziert. Wenn man verkauft verliert man sein Anrecht auf den Schadensersatz? Wenn man wieder kauft erhält man es dann zurück? Funktioniert das auch wenn man das über zwei verschiedene Broker macht? Man könnte auch die Anzahl der Aktien die benötigt würden nicht angeben, weil es vom Verhalten der Aktionäre abhängen würde.

Ich denke die Bezeichnung "operatives Plus" ist etwas ungünstig, denn es gibt "Operating Income" und das ist klar definiert und klar negativ. Adjusted EBITDA zu sagen ist vermutlich etwas genauer.
"AMC hatte vor der Pandemie, mit einem Schuldenstand von ca. 1,5 Milliarden USD"
Ist das ein Tippfehler? Seit 2017 liegen die Schulden immer über 4 Milliarden. Das beste EBITDA Ergebnis war im Jahr 2018 mit 819 Millionen Dollar. Net Income war aber trotzdem nur 53 Millionen und die Marktkapitalisierung war 1.5 Milliarden. Ich denke es hat einen Grund warum Charles Munger EBITDA als Bullshit-Earnings bezeichnet. Es ist nicht gut vergleichbar und dient häufig dazu etwas schön zu rechnen.
